Roshni Rides Private Limited, a private limited company incorporated under the laws of Pakistan, (hereinafter referred to as “Service Provider” which expression shall, where the context so permits, include its successors-in-interest, administrators and permitted assigns); 

AND 

The customer, an individual rider, (hereinafter referred to as the “Client”) 

According to this agreement, the Parties hereby agree as under: 

1. Term 

1.1 The term of this agreement is renewed automatically on a month-month basis indefinitely 

1.2 If the Client seeks to end the use of service they must notify the Service Provider in writing 

1.3 If the Client chooses to end the service before the completion of their month’s service, the Service Provider will not return the payments 

1.4 The responsibilities of the Service Provider will conclude upon the termination of this 

Agreement. 

1.5 Both Parties to this Agreement acknowledge their liability to pay to the other Party all 

amounts payable notwithstanding termination of this Agreement. 

2. Service Provided 

2.1 Service provider shall provide Pick and Drop service to its Client. The service only comprises pick up from their home to the respective office or university and the return trip only. In no circumstance will Pick and Drop destinations change outside the route. If a destination is to be changed, rider must send a new request via Roshni App. 

2.2 In case of vehicle breakdown or maintenance, the Service Provider will provide a back-up vehicle or adjust for that days service in following month fare. 

2.3 The Service Provider will deliver a single warning during emergency situations (weather, political unrest, etc) that the Client must oblige to. After the warning, if the Client chooses not to adapt to Roshni Rides change in schedule for safety purposes, Roshni Rides will not serve the Client in that time 

2.4 Holiday Policy: Please note that the public holidays included in the Service Provider holiday calendar are included in total pricing and shall not be deducted. Additional vacation days will not affect total pricing. Additionally, there will be no services provided on public holidays. 

2.5 Sick /Personal Days: For riders who take a personal or sick day, they are obligated to instruct their driver in advance through Roshni App. Service Provider does not accommodate for sick days within pricing. 

2.6 Service Provider will be responsible for all fuel and maintenance of vehicles deployed for above transportation. 

2.7 Service Provider will operate with reasonable care and skill. To the fullest extent permitted by law, Service Provider shall not be liable for: 

· Any delay in transporting customers 

· Any loss of profits, loss of revenue, loss of business, loss of reputation, economic loss, consequential loss, indirect loss or any loss incurred as a result of a failure to be in time for any events arising from or in connection with any services. 

3. Obligations 

3.1 The Service provider is responsible and liable to provide pick and drop services of sufficient quality to the Client at agreed upon timings with the exception of 30 mins buffer due to extreme traffic, weather conditions, or any circumstance outside the Service Provider’s control. 

3.2 The Service Provider is not liable for any theft or violence that may occur from a third party during the duration of the ride. 

3.4 Any Client Request which the Service Provider has agreed or confirmed it would provide shall be subject to the General Terms and Specific Terms. Any clause stated thereto is subject to revision as technology development takes place. In such circumstances, the client shall be made aware through written agreement or confirmation. 

3.4 Client is obligated to hold to the standards addressed in the Riders Conduct addressed in “Annexure A” 

3.6 Client must be ready to depart no later than 5 minutes after the scheduled pickup time. 

3.7 Client failure to be ready to depart 5 minutes after the scheduled pickup time may result in ride cancellation of the Service Provider. Client will not be entitled to a refund of any amount of the fare, nor will have any liability for any costs, damages, expenses or losses arising from the cancellation of the services in these circumstances. 

3.8 Client shall be responsible for the cost of repair for damage to, or necessary cleaning of vehicles and property resulting from use of the Services by Client in excess of normal “wear and tear” damages and necessary cleaning (“Repair or Cleaning”). In the event that a driver reports the need for Repair or Cleaning, and such Repair or Cleaning request is verified by Service Provider’s reasonable discretion, Service Provider reserves the right to facilitate payment for the reasonable cost of such Repair or Cleaning on behalf of the drivers and reimburse such cost from Client. 

4. Payment Terms 

4.1 The Client shall be charged the payment amount on a monthly basis. The charge will be determined in respect of the Pick and Drop Services that it has agreed for. 

4.2 The month to month payment is subject to revision in accordance to inflation and fluctuation in fuel prices. 

4.3 The Client shall promptly pay the Service Provide the amount payable: 

4.3.1 One day in advance of each month during which the Service Provider has agreed to provide services; 

4.3.2 Immediately where the service is terminated either by the Service Provider or the Client 

4.4 Failure to pay allows service provider to cancel service without prior notice. 

4.5 Reimbursement can only be claimed through proper proof such as screenshot consisting of details such as date, time and trip location. This should be submitted through a ticket on the app. 

4.5.1 Customer should only take a ride which equivalent to their service- for example for non ac riders , only non ac rides will be reimbursed. 

5. Bills 

5.1 The client shall pay the Service Provider in the form of online transfer/ deposit the total amount stated on the invoice to the Service Provider in advance of each month. The payment shall be made out to the following:

5.2 If, at any time, the Client have failed to pay the sums due and owing, or is in breach of any other terms of this Agreement, the Service Provider shall, without prejudice to their liberty to terminate, be entitled to withhold/suspend the service of any and all of their obligations hereunder and shall have no responsibility whatsoever for any consequences thereof, in respect of which the Client hereby indemnify the Service Provider, and fare shall continue to accrue and any extra expenses resulting from such withholding shall be borne by the Client. 

5.3) Any overpayment by the client with respect to any amount, item, or matter stated in the Bill shall be adjusted by the Service Provider in the following month’s bill after the Service Provider has completed its investigations and is convinced of the inaccuracy of that amount. 

5.4 Client shall bear and pay all Taxes imposed by SRB or FBR prevalent during time of payment. The current tax provision is 5%.

If the above details are not shared on time on the app, it will be assumed that payment has not been made and will result in termination of service%. 

5.6 If, at any time, the fuel or any other cost increases, the Service Provider shall be entitled to increase the fare price and shall have no responsibility whatsoever for any consequences thereof. 

5.7 The Service Provider reserves the right to change driver, vehicle and route. The service provider reserves the right to add riders on the route to maintain an efficient carpooling service. 

7. Liability 

7.1 The client acknowledges that Service provider will be acquiring services from third party providers to carry out pick and drop services for client. The client also acknowledges that such third party providers are independent of Service provider and service provider shall not be liable for any of the third party vendors’ actions. Service provider, nevertheless, shall be liable for executing due diligence of Third Party Provider and the Client shall agree to such due diligence process. Notwithstanding the due diligence, if Third Party Vendor creates circumstances that threaten the integrity of service provided, Service Provider shall not be liable in any way to the client whether in contract, tort or otherwise in relation to the matter. Nonetheless, Service provider is obligated to ascertain remedial action has been taken against the aforementioned matter. Service provider shall also not be held liable for any matters in respect to the rider after he/she has been securely delivered to his/her respective destination. 

7.2 Service Provider shall have no liability to Client if Service Provider is prevented from, or 

delayed in performing any services as a result of any act, event, omission or accident beyond reasonable control, including (without limitation) industrial disputes, failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or subcontractors. 

8. Confidentiality 

8.1 In providing this service, information obtained will not be disclosed or used by the Service provider except as required or permitted by law, or with your express consent. 

8.2 The price given to the rider falls under protected pricing. This means that pricing is customized based on distance, volume, and referral for each rider. As such, riders should not share their pricing with anyone else in their said van. 

Service Provider reserves the right to amend these Terms and Conditions at any time, in its sole discretion. Any amendments to these Terms and Conditions will be effective immediately upon posting on the Roshni App and Website. It is the Client’s responsibility to check for amendments before using the services.
